Terms and Conditions of Use

These Terms and Conditions ("Terms") govern your use of the COBY website https://joincoby.com(the "Website"), operated by COBY ("we", "us", or "our"). The COBY product, the brain we build and operate for a client, is provided under a separate written agreement (a Master Services Agreement and a Data Processing Agreement) signed with each client. These Website Terms do not govern that product.

By accessing or using the Website, you agree to these Terms. If you do not agree, please do not use the Website.

COBY has not yet completed incorporation and is currently operated by its founders. Once incorporated, this notice will be updated with our registered company name, number, and address.

1. About COBY

COBY builds a private product brain for each client. With the client's authorization, we connect to the tools or data they designate, structure that into a knowledge graph hosted in the EU, and let the client's team query it through a secure interface (the Model Context Protocol). COBY is delivered as a bespoke engagement, not a self-serve product, and there is no public sign-up. The terms of each engagement, including scope, data processing, security, fees, and service levels, are set in the written agreement with that client.

2. Use of the Website

The Website provides information about COBY and a way to get in touch. You agree not to:

  • Use the Website for any illegal purpose or in violation of applicable laws
  • Attempt to gain unauthorized access to the Website or its related systems, or circumvent any security measure
  • Interfere with or disrupt the integrity, performance, or availability of the Website
  • Scrape, reverse engineer, or attempt to derive the source code of the Website
  • Misrepresent your identity or affiliation in connection with the Website

3. Intellectual property

All content, design, code, and branding on the Website are the property of COBY and protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Website without our prior written permission.

4. Illustrative and AI-generated content

Any examples, demos, or AI-generated content shown on the Website are for illustration only. They are not professional advice of any kind, and you should not rely on them as the sole basis for any decision. AI outputs can be inaccurate, incomplete, or out of date.

5. The product is governed by a separate agreement

Use of the COBY product is governed by the Master Services Agreement and Data Processing Agreement signed with each client, not by these Website Terms. In the event of any conflict between these Terms and that agreement regarding the product, that agreement prevails. How we handle data in an engagement is described in our Privacy Policy and on our Security page.

6. Website availability

The Website is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free access, and we may modify, suspend, or discontinue the Website or any part of it at any time, with or without notice.

7. Limitation of liability

To the fullest extent permitted by applicable law, COBY shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Website. Liability relating to the COBY product is addressed in the written agreement with each client. Nothing in these Terms limits liability that cannot be limited under applicable law.

8. Privacy and security

Your use of the Website is also governed by our Privacy Policy. Our security practices and the sub-processors we use are described on our Security page. Both are incorporated into these Terms by reference.

9. Governing law and disputes

These Terms are governed by the laws of France, without regard to conflict of law principles. Any disputes arising from or related to the Website or these Terms are subject to the exclusive jurisdiction of the courts of Paris, France.

If you are a consumer in the European Union, you also have the right to lodge a complaint with your local data protection authority, and you may benefit from mandatory consumer-protection provisions of your country of residence.

10. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Continued use of the Website after changes take effect constitutes your acceptance of the updated Terms.

11. General

  • Severability: if any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force and effect.
  • No waiver: our failure to enforce any provision is not a waiver of it.
  • Assignment: you may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Entire agreement: these Terms, together with our Privacy Policy, are the entire agreement regarding your use of the Website.
  • Language: these Terms are written in English; in case of conflict with a translation, the English version prevails.
